Early Access Notice

MarqTools is currently in Early Access. The platform is under active development, and features, functionality, pricing, and service availability may change without prior notice. By using the Service during this period, you acknowledge and accept that:

  • The Service may contain bugs, errors, or incomplete features;
  • Uptime and availability are not guaranteed;
  • Features described in marketing or onboarding materials may not yet be fully operational;
  • Pricing and plan structures may be adjusted as the Service matures.

We appreciate your participation as an early adopter and welcome your feedback at contact@marqtools.com.

1. Agreement to Terms

By creating an account, subscribing to a plan, or otherwise accessing or using the MarqTools platform and related services (collectively, the Service), you agree to be bound by these Terms and Conditions (the Terms). The term you or Customer refers to the individual or business entity registering for or using the Service.

If you are using the Service on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Core Group Company (doing business as MarqTools), a company organized under the laws of the State of Colorado (MarqTools, we, us, or our).

2. Description of the Service

MarqTools is a cloud-based platform that:

  • Scans and indexes publicly available content from the website URL you provide during onboarding;
  • Builds a knowledge base from that content using retrieval-augmented generation (RAG) technology;
  • Deploys an AI-powered chat agent (the Agent) as an embeddable widget on your website that answers your visitors’ questions 24/7.

2.1 AI Disclosure

The Agent uses large language model (LLM) technology provided by third-party AI infrastructure providers (see Section 7). The Agent generates responses by retrieving information from your knowledge base and presenting it conversationally.

No AI Training on Your Data. MarqTools does not use your website content, knowledge base data, chat logs, or any Customer Content (as defined below) to train, fine-tune, or improve any artificial intelligence or machine learning models. Your data is retrieved and presented — never used as training data.

2.2 AI Output Disclaimer

The Agent’s responses are generated using AI and are probabilistic in nature. While the Agent is grounded in your knowledge base content, responses may occasionally be inaccurate, incomplete, or contextually inappropriate. You acknowledge that MarqTools does not guarantee the accuracy, completeness, or suitability of any AI-generated response. You remain solely responsible for the content that appears on your website, including all Agent-generated responses.

3. Your Account

3.1 Registration

To use the Service, you must create an account by providing accurate and complete business and contact information, including your business name, website URL, and a valid email address. You must keep this information current.

3.2 Credentials

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at contact@marqtools.com if you become aware of any unauthorized use of your account.

3.3 Eligibility

The Service is available only to individuals who are at least 18 years old and to businesses that are legally organized and operating. By registering, you represent that you meet these requirements.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to misrepresent your business, products, or services;
  • Publish, upload, or process content that is unlawful, defamatory, fraudulent, obscene, or violates the rights of any third party;
  • Process content you do not have the legal right to use;
  • Attempt to reverse-engineer, decompile, or disassemble the Service or its underlying technology;
  • Use the Service to build a competing product or service;
  • Attempt to circumvent any usage limits, rate limits, or security measures;
  • Use the Service to generate, distribute, or facilitate spam, phishing, or unsolicited communication;
  • Attempt to manipulate the Agent to produce harmful, misleading, or inappropriate content;
  • Share your account credentials with unauthorized third parties.

MarqTools reserves the right to suspend or terminate your access immediately if we reasonably determine that your use violates these Terms or poses a risk to the Service.

5. Website Scanning and Content License

5.1 Domain Verification and Consent to Scan

By completing the onboarding process and accepting these Terms, you grant MarqTools the right to access, crawl, and index the publicly available content on the website URL you provide (the Customer Website) for the sole purpose of building and maintaining your knowledge base and providing the Service.

Before scanning begins, you may be required to verify ownership of your Customer Website by adding a DNS TXT record or completing another verification method designated by MarqTools. Website scanning is initiated only after you have created an account, verified your email, accepted these Terms, and completed domain verification. MarqTools will not scan your website until these conditions are met.

5.2 Content Ownership

You retain full ownership of all content from your Customer Website and any additional content you upload, input, or provide to the Service (collectively, Customer Content). You grant MarqTools a non-exclusive, worldwide, royalty-free, limited license to use, process, store, retrieve, and display Customer Content solely for the purpose of providing the Service to you.

This license terminates when your account is terminated or when you remove the applicable Customer Content from the Service, subject to reasonable backup and deletion timelines (see Section 12).

5.3 Your Representations

You represent and warrant that:

  • You own or have the legal right to use all Customer Content you provide to the Service;
  • Your Customer Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party;
  • Your Customer Content complies with all applicable laws and regulations.

6. Plans, Billing, and Payment

6.1 Plans

The Service is offered on the subscription plan you select during onboarding. Current plans and pricing are displayed on the onboarding page at the time of sign-up. Pricingis subject to change in accordance with Section 6.7.

A one-time Setup Fee may apply. MarqTools may offer promotional codes to waive or reduce fees at its discretion.

6.2 Free Trial

MarqTools may offer a free trial period for eligible plans. Unless otherwise stated, the trial period is 7 days from the date of account activation. During the trial, you have access to the features included in your selected plan.

To start a free trial, you must provide a valid payment method. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and your payment method will be charged the applicable subscription fee. You may cancel at any time during the trial through your account settings or by contacting contact@marqtools.com at no charge.

MarqTools reserves the right to modify, limit, or discontinue free trial offers at any time without prior notice. Free trials are limited to one per customer and may not be combined with other promotions unless explicitly stated.

6.3 Plan Inclusions

Certain plans may include additional services such as discovery calls, onboarding consultations, or custom workflow setup support. The specific inclusions for each plan are described on the onboarding page at the time of sign-up. Included service hours are non-transferable, non-refundable, and must be used within 90 days of account activation unless otherwise agreed in writing.

6.4 Payment

All fees are charged in U.S. Dollars (USD). Payment is processed through Stripe. By subscribing, you authorize MarqTools and Stripe to charge your designated payment method for all applicable fees, including recurring subscription fees.

You are responsible for maintaining current and accurate payment information.

6.5 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel auto-renewal at any time through your account settings or by contacting contact@marqtools.com.

6.6 Cancellations and Refunds

You may cancel your subscription at any time. To ensure you receive the full value of your purchase, your cancellation will take effect at the end of your current prepaid billing cycle, and you will retain full access to the Service until then. Please note that all fees paid are non-refundable. As a result, we are unable to issue prorated refunds or credits for partial subscription periods or unused time if a plan is canceled mid-term.

6.7 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying all applicable taxes. If MarqTools is required to collect or remit taxes on your behalf, they will be added to your invoice.

6.8 Price Changes

MarqTools reserves the right to modify its pricing at any time. We will provide at least 30 days’ written notice of any price increase via email. Changes take effect at the start of your next billing cycle. You may cancel your subscription before the new pricing takes effect.

6.9 Failure to Pay

If payment fails, MarqTools may retry charging your payment method, suspend access to the Service, or downgrade your account. If you believe you have been incorrectly billed, contact contact@marqtools.com within 60 days of the disputed charge.

7. Third-Party Services

The Service relies on third-party infrastructure and services, including but not limited to:

  • Third-party AI providers for large language model inference;
  • Cloud hosting providers for infrastructure and data storage;
  • Stripe for payment processing;
  • Email service providers for transactional email delivery.

MarqTools does not control these third-party services and is not responsible for their availability, security, or performance. MarqTools expressly disclaims all warranties and liability relating to third-party services.

8. Intellectual Property

MarqTools retains all rights, title, and interest in and to the Service, including the underlying software, algorithms, models, documentation, user interface, design, and all related technology (collectively, MarqTools Materials). No implied licenses are granted under these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on any MarqTools Materials.

If you provide suggestions, ideas, or other feedback about the Service (Feedback), you grant MarqTools a royalty-free, worldwide, perpetual, irrevocable license to use, modify, and incorporate such Feedback without obligation to you.

9. Confidentiality

Confidential Information means any non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential.

Each party agrees to:

  • Protect the other party’s Confidential Information with at least the same degree of care it uses for its own confidential information;
  • Use Confidential Information only to fulfill obligations under these Terms;
  • Not disclose Confidential Information to any third party without prior written consent, except to employees and contractors who need access and are bound by confidentiality obligations.

Confidential Information does not include information that: (a) is or becomes publicly available without breach; (b) was already known without restriction; (c) is received from a third party without breach; or (d) is independently developed. Either party may disclose Confidential Information if required by law, provided reasonable prior notice is given.

10. Data and Privacy

This section describes how MarqTools collects, uses, and protects information when you use the Service. Because the Service also collects information from visitors to the Customer Website who are not parties to these Terms, that visitor-facing collection and use is governed by the MarqTools Privacy Policy, available at marqtools.com/privacypolicy, which is incorporated into these Terms by reference. See Section 10.6 below.

10.1 Information We Collect

Information you provide: Business name, contact name, email address, website URL, and payment information.

Information collected automatically: Browser type, IP address, pages viewed, session duration, server logs, and error reports.

Information from your website: Publicly available website content (text, page structure, metadata) from the URLs you authorize, and chat interaction data (visitor messages, Agent responses, timestamps).

10.2 How We Use Your Information

  • Providing the Service: Building knowledge bases, deploying Agents, processing chat interactions;
  • Account management: Creating and maintaining your account, processing payments;
  • Service improvement: Analyzing aggregated and anonymized usage patterns;
  • Security: Detecting and preventing fraud, abuse, and security incidents;
  • Communication: Sending transactional emails (verification, billing, service updates).

MarqTools does not use Customer Content, chat logs, or end-user data to train, fine-tune, or improve any AI models.

10.3 How We Share Your Information

We do not sell your personal information. We share information only with:

  • Third-party AI providers — for generating Agent responses (processed, not stored for training);
  • Stripe — for payment processing;
  • Cloud hosting providers — for infrastructure and data storage (encrypted);
  • Email service providers — for transactional email delivery.

We may also disclose information when required by law, to enforce these Terms, or in connection with a merger or acquisition (with notice to you).

10.4 Data Retention

  • Account data is retained for the duration of your account plus 30 days after termination.
  • Chat logs are retained on a 90-day rolling basis.
  • Knowledge base content is retained for the duration of your account plus 30 days after termination.
  • Payment records are retained as required by applicable tax and financial regulations.

You may request export or deletion of your data at any time by contacting contact@marqtools.com.

10.5 Data Security

We implement commercially reasonable administrative, technical, and physical safeguards, including encryption in transit (TLS 1.2+) and at rest, role-based access controls, and continuous monitoring. No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

10.6 Website Visitor Privacy Policy

The Agent interacts with visitors to the Customer Website who are third parties and not signatories to these Terms. MarqTools’s collection, use, and disclosure of information from such visitors — including chat messages submitted to the Agent, IP addresses, and related technical data — is governed by the MarqTools Privacy Policy, available at marqtools.com/privacypolicy. Customer is responsible for ensuring that the Customer Website provides visitors with reasonable notice of, and where required by applicable law, obtains visitor consent to, the use of the Agent and the associated collection of visitor data.

11. Warranty Disclaimer

The Service is provided as is and as available without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

MarqTools does not warrant that the Service will be uninterrupted, secure, or error-free, or that the Agent’s responses will be accurate, complete, or suitable for any particular purpose.

12. Term, Termination, and Data Deletion

12.1 Term

These Terms take effect when you create your account and remain in effect for the duration of your subscription, including any renewal periods.

12.2 Termination

(a) Either party may terminate these Terms with 30 days’ written notice if the other party materially breaches and fails to cure the breach within the notice period.

(b) Notwithstanding subsection (a), MarqTools may immediately suspend or terminate your access, without prior notice, if your use poses a security risk, involves illegal activity, or you fail to pay fees when due.

12.3 Effect of Termination

Upon termination:

  • All rights and licenses granted to you will immediately cease;
  • You must stop using the Service and remove the Agent widget from your website;
  • MarqTools will delete your Customer Content and account data within 30 days, unless retention is required by law;
  • You may request a data export before termination by contacting contact@marqtools.com.

If you terminate due to an uncured breach by MarqTools, we will refund any unused prepaid fees. If MarqTools terminates due to your breach, you remain liable for all fees through the end of your billing period.

13. Limitation of Liability

To the maximum extent permitted by applicable law, MarqTools will not be liable for any indirect, incidental, special, consequential, or punitive damages, including damages for lost profits, lost data, or business interruption, arising out of your use of the Service.

MarqTools’s total aggregate liability will not exceed the total fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless MarqTools, its officers, directors, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Service;
  • Your Customer Content, including any claim that it infringes third-party rights;
  • Your violation of these Terms or applicable law;
  • The Agent’s responses as deployed on your website.

15. Changes to These Terms

MarqTools may update these Terms from time to time. We will provide at least 30 days’ notice of material changes via email and by posting updated Terms on our website. Continued use of the Service after the updated Terms take effect constitutes your acceptance. If you do not agree, you must stop using the Service and may terminate your account.

16. General Provisions

Entire Agreement. These Terms constitute the entire agreement between you and MarqTools regarding the Service.

Assignment. You may not assign these Terms without our prior written consent. MarqTools may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability. If any provision is found invalid or unenforceable, the remaining provisions continue in full force.

Waiver. Failure to enforce any provision does not constitute a waiver.

Notices. Except as otherwise stated in these Terms, all notices to Customer will be sent to the email address associated with the account, and all notices to MarqTools must be sent to contact@marqtools.com. Notices are deemed received 24 hours after sending, unless the sending party is notified that the email address is invalid.

No Third-Party Beneficiaries. These Terms are for the benefit of you and MarqTools only. They do not create any rights for website visitors, end users of the Agent, or any other third party, except as expressly stated.

Governing Law. These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Colorado.

Dispute Resolution; Arbitration; Class Action Waiver. Except for claims for injunctive relief, claims that qualify for small claims court, or intellectual property claims, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered under the rules of a mutually agreed arbitration provider, conducted in Colorado (or remotely, by agreement). You and MarqTools each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision by sending written notice to contact@marqtools.com within 30 days of first accepting these Terms; opting out does not affect any other provision of these Terms, including the Governing Law provision above.

Force Majeure. Neither party is liable for failures or delays caused by events beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.

Survival. Sections 5.2, 8, 9, 10, 11, 13, 14, and 16 survive termination.
